Acceptance of Terms
By accessing or using the DMS Lab website (dmslab.io) and our full-stack product development services, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions outlined here, you may not access or use our website or services. We reserve the right to update these terms at any time. Material changes will be communicated via our website. Your continued use of our services after any modifications constitutes acceptance of the updated terms.
Our Services
DMS Lab provides product engineering, AI engineering, blockchain development, cybersecurity, enterprise transformation, and team augmentation services. The specific scope of work, deliverables, timelines, milestones, and fees for each client engagement are defined in individual project agreements or statements of work (SOW) executed between DMS Lab and the client. These Terms of Service govern your use of our website and form the general framework for all service engagements.
Intellectual Property Rights
All content on the DMS Lab website: including text, graphics, logos, images, and software : is the property of DMS Lab and protected by applicable intellectual property laws. For client engagements: unless otherwise specified in the project agreement, full intellectual property rights for all deliverables transfer to the client upon final payment. DMS Lab retains the right to display completed work in our portfolio and case studies unless a non-disclosure agreement specifies otherwise.
Payment Terms
Payment terms: including project fees, milestone payments, invoice schedules, and accepted payment methods, are specified in individual project agreements. Unless otherwise stated in the agreement, invoices are due within 14 days of issuance. Late payments may incur additional charges as specified in the project agreement. DMS Lab reserves the right to suspend or pause services in the event of overdue payments that remain unresolved after reasonable written notice.
Limitation of Liability
To the maximum extent permitted by applicable law, DMS Lab shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services. Our total liability for any claims arising from a specific project engagement shall not exceed the total fees paid by the client for that engagement. Nothing in these terms limits liability for matters that cannot be excluded by law in your jurisdiction.
Termination of Services
Either party may terminate a service engagement in accordance with the termination provisions specified in the project agreement. Upon termination, the client pays for all work completed up to the termination date, and DMS Lab delivers all completed work product, source code, documentation, and credentials. DMS Lab reserves the right to terminate or suspend website access without prior notice for conduct that violates these terms or is harmful to other users, our systems, or our business interests.
Governing Law & Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with applicable laws as specified in the project agreement. Any disputes arising from these terms or the use of our services shall first be addressed through good-faith negotiation between the parties. If negotiation does not resolve the matter within 30 days, the dispute shall be resolved through binding arbitration in accordance with the rules specified in the project agreement.
